What It Costs to Set Up a Company in Romania

Setting up a company in Romania costs four kinds of money: state charges, third-party costs, your capital and year one. Each line names the statute behind it.

  • Monitorul Oficial Part IV charges 152 lei per manuscript page for Company Law acts, VAT included (Decision no. 1/2026)
  • A new SRL needs at least 500 lei of capital. The company keeps it, so it is not a fee
  • A notary, an apostille or a lawyer, only where the law requires one
  • Our own fees are on request
A calculator, a notebook and a stack of papers on a desk.

Four kinds of cost, kept apart

If you live abroad, a Romanian company costs you four kinds of money: what the state charges, what a third party charges when your file needs one, the company's own capital, and what the first year adds. Each figure below names its statute and year. For the procedure, read our company registration overview.

These lines apply to a new company. Buying an existing one by share transfer is a different route with its own checks (see what to check before buying a shelf SRL in Romania). Our own fees are not on this page. Pricing is on request.

What's included

The registration work has eight parts, from the name check to the point where our work stops. Pricing is on request.

A stamped envelope lying on a wooden desk.
Each filing is followed through to publication and the certificate.

Name check and reservation

We check that the name is available. Then we file the reservation request through the online portal of ONRC, Oficiul Național al Registrului Comerțului (the National Trade Register Office).

The standard-form constitutive act

We fill in ONRC's standard form (formular-tip de act constitutiv) with the founders' choices. The founders sign it under private signature. A partner Romanian lawyer prepares anything bespoke.

Proof of the registered office

We provide a registered office address in Romania ourselves, as a trust and company service provider notified to ONPCSB. We also give you the proof the filing needs.

Beneficial-owner statement

The constitutive act names the beneficial owners at incorporation. That statement goes to the trade register, not to ONPCSB.

Filing at ONRC

The application goes in within 15 days of signing (art. 87). We file it under your power of attorney, or a partner lawyer files it under a lawyer's mandate.

Publication and certificate

We follow the Monitorul Oficial publication and the registration certificate. A non-resident individual founder's Romanian tax number runs through the same filing.

Hand-offs for reserved work

Your own CECCAR accountant handles the books and returns. A CCF tax consultant gives tax opinions, and we can point you to one. A partner lawyer prepares bespoke deeds.

Where our work stops

We do not keep books, run payroll, prepare returns, give tax advice, answer ANAF or draft bespoke deeds, and we promise no registration date, VAT code or bank account.

The cost map: who is paid for what

What the state charges to register a company in Romania is a short list. The rest depends on who signs and which documents come from abroad.

Share capital stays with the company

Capital is money the founders put into the Romanian limited liability company, the SRL. The company keeps it. It is a contribution, not a fee.

Want these cost lines mapped to your own founders and documents?

In a walkthrough we sort your file into the four kinds of cost: state, third party, capital and year one.

What the first year adds

In its first year, a Romanian SRL has costs and duties. The law sets the duties, and steps follow from them.

  • Open a payment account in Romania within 60 working days. The fine is 3,000 to 10,000 lei.
  • Pay in 30% of the capital within 3 months and before trading, and the cash balance within 12 months.
  • Your own staff or a CECCAR member under contract keeps the books. We keep none.
  • File beneficial-owner changes within 15 days. The fine is 5,000 to 10,000 lei.
  • Renew the registered-office deed before it expires.
  • VAT, if needed, is a separate ANAF request with a risk analysis. We promise no code.
  • SPV, ANAF's online account, is free to join. The texts we rely on do not say whether it is mandatory.

Law 70/2015 sets the payment-account duties and their fine (art. 1(12), (13) and 12(4)), as inserted by Law 239/2025. The beneficial-owner term and fine come from Law 129/2019 (art. 56(3) and 57(1)). The administrator stays responsible for the accounts (Law 82/1991, art. 10(1)).

The registered-office deed is renewed before it expiresNot a statutory term: its expiry is a ground for dissolution

The three tracks run on their own scales and are not converted into each other.

The first-year dates in order; each is set by statute, except the office deed, whose expiry the statute makes a ground for dissolution; the fines are the statute's.

Problems we solve

Founders bring us five situations about cost. Each one below shows what the statute says and how we handle the file.

Period buildings along a street in Bucharest in daylight.
Cost questions come from founders abroad; the file is handled in Bucharest.

A quote that blurs the lines

We list each line by who is paid and the legal trigger behind it. We leave out any figure the texts do not publish, and we do not guess.

A cheap seat and the VAT risk criteria

For cancelling a VAT registration, Annex 6 lists a lawyer's seat or a comodat of a year or less, without other premises. It also lists a non-resident foreign administrator with capital under 45,000 lei. We promise no code.

A name that stays in the gazette

Under the 2022 text, Monitorul Oficial publishes the registration extract, with the founders' and administrators' names and towns (art. 16(1)(a), (2)). A published act cannot be changed.

A trip to Bucharest

You need not attend in person where a notary or lawyer drew up the application and documents. The registrar asks for your presence only if it suspects false identity (art. 105(2), 2022 text). A qualified electronic signature works (art. 82).

Capital treated as a fee

You deposit nothing before filing. The company pays in 30% within 3 months of registration and the cash balance within 12 months, and it keeps the money.

Not sure which of these cost lines applies to your file?

We go through your signature route, your foreign documents and any bespoke deed. Then we list each cost line they trigger.

Why work with us

Andrei Stoica prepares and files Romanian company registrations for founders who live abroad.

We are a trust and company service provider notified to ONPCSB, not a law firm (art. 2(l) and 302 Law 129/2019). Our own AML checks are our cost, not a state charge to you.

From our practice

At intake we sort each file into the four kinds of cost and check its triggers. The triggers are who signs, which documents are foreign, any bespoke deed and any contributed real estate.

Frequently asked questions about the cost of a Romanian company

Is there a Trade Register fee on top of a formation package, and how much is it?

The 2022 text of Law 265/2022 charges no taxes or tariffs for registration before trading or for changes (art. 41, 43, 44). This is the statute as we read it, not a 2026 guarantee, so we give no ONRC fee amount. The law also names no fee for the extract it sends to Monitorul Oficial (art. 16(1)(a)).

Is the "152 lei" that providers quote a Trade Register fee?

No. The 152 lei per manuscript page, VAT included, is the 2026 tariff for acts the law sends to Monitorul Oficial Part IV (Decision no. 1/2026). Acts under Company Law 31/1990 are among them. A manuscript page is 2,000 characters including spaces. Law 265/2022 names no Part and no fee for a new company's registration extract.

Is registering a company in Romania free?

Not in every case. The 2022 text of Law 265/2022 waives taxes and tariffs for registration and changes (art. 44), and the Bulletin is free. But we have not confirmed the 2026 status of art. 44. Third-party costs, the capital and Monitorul Oficial tariffs for acts published there can still arise. Pricing for our work is on request.

Is the 500 lei share capital a cost, and must I deposit it before registration?

It is not a fee, because the company keeps the money. A new SRL has had a minimum capital of 500 lei since 18 December 2025 (Law 239/2025). You deposit nothing before filing. The company pays in 30% within 3 months of registration and before trading, and the cash balance within 12 months (art. 91(2) Law 31/1990, January 2024 text).

Do I need a notary to set up an SRL in Romania?

Not for a cash-capital SRL. Its constitutive act is signed under private signature, and it needs a notarial form when real estate is contributed (art. 5(6) Law 31/1990, January 2024 text). You pay a notary when a non-lawyer attorney files, because that attorney needs a notarised power of attorney (art. 79 Law 265/2022, 2022 text).

When do I need an apostille and a certified translation?

You file foreign official documents in the original, always with a legalised Romanian translation (art. 76 Law 265/2022, 2022 text). For Hague Convention states, the original needs an apostille. For other states it needs superlegalisation. Where a treaty or EU rule removes the formality, it needs neither. A power of attorney notarised in another EU state still needs the apostille unless a bilateral treaty removes it.

Do I have to travel to Romania to register the company?

Not where a notary or a lawyer drew up the application and the supporting documents, including the constitutive act. The registrar can ask you to attend only if it suspects false identity (art. 105(2) Law 265/2022, 2022 text). You can sign the application by hand or with a qualified electronic signature (art. 82).

Can the type of office contract affect a VAT application?

Yes, it can. Annex 6 of the VAT norms sets the fiscal-risk criteria for cancelling a VAT registration. It lists an office at a lawyer's seat, or under a comodat (free loan) of one year or less, each with no other premises (pt. 1.1, 1.2). The texts we read do not say how ANAF scores a first application. We promise no VAT code.

How long do I have to open a Romanian bank or payment account, and what happens if I do not?

A newly formed legal person has at most 60 working days from formation to open a payment account in Romania. It must keep one while it trades (Law 70/2015, art. 1(12) and (13), inserted by Law 239/2025). The fine for a breach is 3,000 to 10,000 lei. A provider may refuse only where opening the account would breach the AML law or sanctions rules.

Who may keep the books of a new SRL, and do you do it?

You may outsource bookkeeping only under a contract with a CECCAR member, who answers for keeping the accounts (Law 82/1991, art. 10(3)-(4)). The administrator stays responsible for organising them (art. 10(1)). We keep no books. Annex 6 pt. 3.1 lists the lack of a designated person to run the accounts, or of an active CECCAR contract where the books are outsourced.

Does ANAF charge for the CUI or the tax number of a foreign founder?

No. ANAF assigns the CUI on the data the Trade Register sends. A non-resident individual founder's tax number comes through the same filing (art. 83(1) Fiscal Procedure Code), so neither is a separate purchase. SPV, ANAF's online account, is free. The texts we rely on do not say whether ANAF charges for the VAT registration, which is a separate request.

What capital does an SA need, and how much is paid in at formation?

An SA needs 90,000 lei under the January 2024 text of Law 31/1990 (art. 10(1)). The Government may revise that to the lei equivalent of EUR 25,000. The texts we rely on contain no revision after January 2024. An SA formed by simultaneous subscription pays in at least 30% of the subscribed capital at formation (art. 9(2)).

Are the founder's name and town published, and can that be removed later?

Yes, and they stay published. Monitorul Oficial publishes an extract of the registrar's decision registering a legal person (art. 16(1)(a) Law 265/2022, 2022 text). The content of a published act cannot be changed, so the founders' and administrators' names and towns in the extract stay published. This is a point to weigh before you sign the act.

How much does it cost to establish a company in Romania?

The law sets part of it. A new SRL needs a minimum capital of 500 lei, which the company keeps (Law 239/2025). Acts the law sends to Monitorul Oficial Part IV cost 152 lei per manuscript page (Decision no. 1/2026). You pay a notary, apostille, legalised translation or lawyer only when your file needs one. Our pricing is on request.

What are the steps to create a company in Romania?

First, check and reserve the name. Sign the constitutive act, prove the registered office and give the beneficial-owner data. Prepare the signature route and any foreign documents. Then file within 15 days of signing (art. 87 Law 265/2022, 2022 text). After that come the registrar's decision, the publication and the first-year duties.
