Get a registration planWe give your Romanian company a registered address, the sediu social. You get it under a written contract. We are a trust and company service provider notified to ONPCSB.

We provide a hosted registered office for Romanian companies, mostly for founders who do not live in Romania. We provide it at registration or later. The seat is a mandatory clause of an SRL's constitutive act (art. 7(b) Law 31/1990). The application also carries proof of the declared seat (art. 36(2)(c)). The formation itself is on the detailed company registration page.
The law treats a registered office as a trust and company service (art. 2(l)(3) Law 129/2019). So the provider is a reporting entity (art. 5(1)(g)) that notifies ONPCSB, the Romanian financial intelligence unit (art. 302(1)). We are notified, and we check every client first. For the business address as a product, see our virtual office service.
The package has seven parts, from the first check to the point where our work stops.
Your company's seat is at an address we provide. A written contract sets a stated term and records the end date.
Before the contract, we identify the company, its founders and its beneficial owners. A provider of a registered office has a legal duty to do this.
We supply the seat data for the act and the proof of the seat. We also supply the standard self-declaration on operating conditions (declarație-tip pe propria răspundere).
We file with the Trade Register (ONRC, Oficiul Național al Registrului Comerțului) under your power of attorney. We do this at registration and for a later change of seat. A partner Romanian lawyer prepares the act or decision.
We receive the post that arrives at the seat and forward it to you on the terms the contract sets.
We track the end date and renew before it lapses. An expired seat deed has legal consequences at ONRC and at ANAF.
Our work does not cover books, payroll or returns (CECCAR work), tax advice, ANAF procedures or drafting deeds. We promise no time, VAT code or acceptance, and we supply no administrator or shareholder for hire.
The seat can be your own premises, a lease, a comodat (free loan for use), our hosting contract or a lawyer's seat. The law asks for proof of the declared seat. The texts we rely on do not list any documents.
You send identity documents and the ownership structure. Before signing, we identify the company, founders and beneficial owners, as the AML law requires.
A partner Romanian lawyer drafts the constitutive act with its mandatory seat clause. We supply the seat data and the standard forms for you to sign.
The application names the seat and gives an e-mail address or phone number for ONRC. It includes the seat proof and the self-declaration (art. 72 and 122 Law 265/2022, 2022 text). The law gives the registrar one working day to decide. We do not promise that time.
The seat is published free of charge. It becomes the fiscal domicile (domiciliu fiscal) unless management sits elsewhere. The seat goes on every business document, except cash-register receipts. We forward the mail.
ANAF registers the company for VAT first and checks the risk afterwards. The seat criteria are in the second table below.
We renew before the contract ends. If the deed expires, ANAF can declare the company inactive 30 days after it notifies the company. A company that is not reactivated within one year is dissolved.
A partner lawyer prepares the decision. We file it with the new seat proof and self-declaration. The law gives 15 days from the act. Where the seat is the fiscal domicile, that domicile follows by law.

In a short conversation, we set out the conditions for your company's seat contract and filing. You choose the seat.

The table shows what the law says about the seat. We read the January 2024 text of Law 31/1990, the 2022 text of Law 265/2022 and the Fiscal Procedure Code consolidated to OUG 38/2026.

What follows when the seat deed expires
ANAF: days from its notification
ANAF: years from the declaration of inactivity
ONRC track: on expiry of the deed the registrar may find the company liable to dissolution; for other seat failures a court may dissolve it at the request of an interested person or ONRCart. 2372(1)(a) and art. 237(1)(c) Law 31/1990
Reactivation needs all returns filed and no arrears (art. 92(5)), and a seat deed in force again (art. 92(6)). ANAF also treats a company not operating at its declared fiscal domicile as inactive (art. 92(1)(c)).
The rules on several companies at one address were repealed on 23 July 2021, 5 July 2020 and 23 July 2021 (Art. 17(3), (4) and (5) of Law 31/1990). The texts we rely on set no limit on companies at one address. We promise nothing either way.
ANAF registers a company for VAT first and checks the risk afterwards (art. 316(8), (9) Fiscal Code). It cancels the registration of a company with high fiscal risk (art. 316(11)(h)). To file the request itself, see how we get a Romanian VAT number.
| Criterion | What the text describes | What the file shows | Source |
|---|---|---|---|
| Order of events | ANAF registers first, then analyses risk; it may cancel the registration for high fiscal risk and re-registers the company on request once the risk ends | nothing to prepare; the VAT page covers the procedure | art. 316(8), (9), (11)(h), (12)(e) Fiscal Code |
| Lawyer's seat | The seat is at a lawyer's professional seat, used under a legal-assistance contract, and the company has no secondary premises (work points) | who provides the seat | Annex 6 pt. 1.1 |
| Short free loan | The seat is used under a comodat of one year or less and the company has no secondary premises (work points) | the kind of contract and its term; whether a hosting contract counts as a comodat is not defined | Annex 6 pt. 1.2 |
| Foreign administrator | At least one administrator is a foreign citizen without Romanian tax residence, and the share capital is below 45,000 lei | each administrator's tax residence and the share capital | Annex 6 pt. 5.1 |
| Scoring | Each criterion carries negative points; a company scoring under 51 points presents high fiscal risk; the value of each criterion is not stated | nothing to prepare | Order 2856/2017, 2017 text |
| Before cancellation | The company is invited to ANAF to state its view | nothing to prepare | Order 2856/2017 Annex 4 pt. 4(1), 2017 text |
The scoring comes from ANAF Order 2856/2017, published in Monitorul Oficial no. 780 of 3 October 2017. The texts we rely on add the points of the criteria met to a base of 100. A score under 51 counts as high risk. The texts print no value for any criterion, so this page does not say that one criterion is enough, or that several are needed. It states no 12-month lease rule. It does not say that an address satisfies ANAF.
Founders bring us these five situations. Each card says what the law provides and how the file handles it.

If the contract ends, the registrar can find a ground for dissolution. ANAF can declare the company inactive 30 days after it notifies the company. After one year of inactivity, the company is dissolved. We track the date and renew first.
No. ANAF registers the company, then checks the risk. It scores a short comodat seat without secondary premises, and a lawyer's seat, against a 51-point line (2017 text of Order 2856/2017). We promise no code.
The owners' association (asociația de proprietari) does not need to approve the seat if the administrator declares that no activity is carried on there. That declaration is on the documents list.
Guides that cite art. 17 of Law 31/1990 on this point cite repealed law. The texts we rely on set no limit and give no permission, so we promise nothing.
For a residence permit for commercial activity, IGI (Inspectoratul General pentru Imigrări) asks for proof that you lawfully hold the seat space. It asks in the first file and again on extension.
Send us the contract's end date. We set it against the ONRC and ANAF terms above. We promise no outcome.
Andrei Stoica prepares and files Romanian company registrations for founders abroad.
We are a trust and company service provider notified to ONPCSB, and we are not a law firm. Books, returns and tax advice stay with CECCAR and CCF professionals.
From our practice
Before we sign a seat contract, we check the beneficial owners, the term and end date, the kind of contract and the fiscal domicile.
No. ANAF registers a company for VAT first and then runs a risk analysis. It cancels the registration of a company with high fiscal risk (art. 316(8), (9) and (11)(h) Fiscal Code). The seat criteria are only some of those ANAF scores (2017 text of Order 2856/2017). No address can promise a VAT code, and we do not promise one.
No text we rely on sets that rule. The Annex 6 criterion for a non-resident foreign administrator concerns share capital below 45,000 lei. It does not concern a lease (pt. 5.1). The 2017 text of Order 2856/2017 counted a seat lease or free loan of one year or less, with no secondary premises, as a risk factor. Whether it still applies is unsettled.
The AML law requires us to check our clients first. Providing a registered office is an AML-regulated trust and company service (art. 2(l)(3) Law 129/2019). The provider is a reporting entity (art. 5(1)(g)). Starting a business relationship in breach of that law, for example without due diligence, draws a warning or a fine. For an individual the fine is 25,000 to 150,000 lei, and the cap is higher for a company (art. 43(1)(g), (2), (3)).
The application must carry proof of the declared seat (art. 36(2)(c) Law 31/1990). The 2022 text of Law 265/2022 lists no documents. Providing the address is an AML-regulated service, and we offer it as a provider notified to ONPCSB. The texts we rely on do not say which documents ONRC accepts, so we promise no acceptance.
The registrar may find the company liable to dissolution once the seat deed has expired (art. 2372(1)(a) Law 31/1990). ANAF can declare the company inactive 30 days after it notifies the company (art. 92(1)(g), (3) Fiscal Procedure Code). A company that is not reactivated within one year is dissolved (art. 92(41)). We track the end date and renew first.
No text we rely on sets a limit or gives a permission. We promise nothing either way on how many companies share an address. The law repealed the old rules in 2021, 2020 and 2021 (art. 17(3), (4) and (5) of Law 31/1990). A page that quotes them quotes repealed law.
In a block of flats, the owners' association does not need to approve the seat. This holds when the administrator declares, on their own responsibility, that no activity is carried on there (art. 17(6) Law 31/1990). That describes the law. It is not a promise that ONRC accepts a given flat. You still need the proof of the seat.
The law asks for proof of the declared seat (art. 36(2)(c) Law 31/1990). The texts we rely on do not list which documents count. We supply the hosting contract with a stated term and the standard forms. The registrar decides whether ONRC accepts a given document, and we promise no acceptance.
For a company, the fiscal domicile is the registered office. If the place of administrative management and effective control differs, the fiscal domicile is that place (art. 31(1)(c) Fiscal Procedure Code). A different fiscal domicile needs an application to ANAF, which decides within 15 working days (art. 32(2)). If you change a seat that is also the domicile, the domicile moves by law (art. 32(5)).
The company's own office work at the seat does not require the standard self-declaration on operating conditions (art. 122(2) Law 265/2022, 2022 text). The texts we rely on do not say whether you need a work point (punct de lucru) in other cases, so this page states no rule for it. We set out the conditions in a conversation.
The law gives you 15 days from the act to file a change of seat at the trade register (art. 43(1) Law 265/2022, 2022 text). The filing includes a new standard self-declaration (art. 122(4)). Where the seat is also the fiscal domicile, that domicile follows by law (art. 32(5) Fiscal Procedure Code). A partner Romanian lawyer prepares the decision, and we file it.
Yes. ONRC makes the seat available free of charge through the interconnection system of the trade registers and on its website (art. 12(1) Law 265/2022, 2022 text). The seat must also appear on every invoice and business document, except cash-register receipts. Each of these documents also shows the name, legal form, trade register number and CUI (art. 74(1) Law 31/1990).
IGI asks for proof that you lawfully hold the seat space. It asks in the first residence-permit file for commercial activity, and again on extension. The proof is one document of that file. It does not give you a route to residence. Three pages cover the routes: residence permit in Romania, the golden visa guide and who qualifies for Romania's digital nomad visa.
A lawyer may host a company's seat temporarily at the lawyer's professional seat (art. 3(1)(h) Law 51/1995). Annex 6 to the VAT norms lists such a seat as a risk criterion (pt. 1.1). The seat counts when the company uses it under a legal-assistance contract and has no secondary premises, so we do not present it as a benefit. We are not a law firm.
The seat is one part of a longer filing. The filing includes the constitutive act with its seat clause and the proof of the seat. It also includes the standard self-declaration and the application to the registrar (art. 36(2)(c) Law 31/1990; art. 72 and 122 Law 265/2022, 2022 text). Our registration page has the full sequence. The process above has the seat steps.
